CS Devender Suhag

Founder & Managing Partner of SMD & Co.

He is a Fellow member of The Institute of Company Secretaries of India (ICSI), holds a bachelor’s degree in commerce and graduated in law from Rajasthan University Jaipur. He possesses over 2 decades of corporate experience, before founding SMD & CO., he worked with corporates giants i.e. Constructora San Jose (Spanish Group), Hero Group, Honda Group and GMR Group. He is a Spanish speaker, holding an intermediate level diploma from Instituto Cervantes, Madrid, Spain. He is a prolific speaker and has delivered more than 100 lectures on Foreign Direct Investment in India (FDI), Overseas Direct Investment from India (ODI), Extra Commercial Borrowing (ECB) and Establishment of Branch, Liaison and Project Office in India etc. at various forums such as ICSI, ICAI, ICMAI and various Management Institutes and Universities.

He is Past Chairman (2023) of Northern India Regional Council (NIRC) of the Institute of Company Secretaries of India (“ICSI”) a statutory body pursuant to the Act of Parliament under jurisdiction of the Ministry of Corporate Affairs. He has been actively associated with the ICSI since 2014, was elected to the Management Committee of Gurgaon Chapter of NIRC of ICSI and has been Chairman of Gurgaon Chapter in 2017. He was elected to NIRC of the ICSI, for the term 2018 – 22 and retired as Vice Chairman of NIRC of ICSI. He was again re-elected to NIRC of the ICSI for the term 2022-26.

He holds certifications as a Registered Insolvency Professional, Registered Valuer, and is a Fellow Member of The Institute of Company Secretaries of India (ICSI). Additionally, he is a Law Graduate with a PGDBA (Finance). He specializes in Corporate Laws, Corporate Restructuring, Project Financing, Export incentives and Govt. Subsidies & Regulatory Matters, Secretarial, Labor Laws & General Administration. In a career spanning over 15 years, he has achieved the numerous milestones such as, working at Senior Management Level and gained extensive exposure in Corporate Management, Planning & Strategy, Incentives & Subsidies, Taxation, regulatory matters & Corporate Compliances and Practiced as a Company Secretary and served as a Partner in a renowned consultancy firm.

With a solid background in Senior Management, he possesses a deep understanding of Law Matters and Compliances. His expertise includes Management of Industrial Enterprise, Project Finance, Export incentives, Subsidies in Agri Sector, compliance of various Tax and Commercial Laws & Litigations. Ajay K. Siwach also has insight into the intricacies of various statutes directly concerned with the corporate world.

He is an Associate member of The Institute of Company Secretaries of India (ICSI), currently heading US Zone of our Firm, SMD & CO. He specializes in various professional roles across the globe in mix of US, Europe and Indian domains. He has a track record of accomplishments in various fields.

He achieved lots of baby project for atomisation in accounting and bookkeeping. With respect to Indian corporate he is a distinguished professional with an experience of 13 years in company secretarial work for small, mid and large corporate including listed group. Well versed with all type of compliance i.e. Stock exchange, Labour and Provident Fund Audit, SEBI and ROC.

He has an extensive experience of handling major services which include Bookkeeping and accounting assignment using Quick book and Zoho software, Filling of business tax return for LLC, S Corp and C Corp (1065, 1120S & are 1120), Filling of individual tax return (1040) and trust (990), , Virtual CFO services including finalising periodic financials, AP & AR management, Payroll - period payroll run, quarterly return and tax submission, Setting up of entity in major states of USA along with getting EIN and payroll withholding account number.

She possesses over 13 years of experience specializing in Corporate Compliances and Corporate Trainings. She served at The South Indian Bank Limited for 7 years in employment prior to starting out with her own practice and then joining SMD & Co. She is also a regular faculty at Institute of Company Secretaries of India (ICSI).
